XP SP2 Update

I have tried to install the SP2 UPDATE 4 TIMES. Each
time I try it goes all the way to install and then
terminates the installation. Deletes the new files and
then sends me a message that access has been denied. The
error code is 8007005. What can I do?

0x80070005: Access is denied" error message is logged to the Windows
Update.log file"
