XP Service Pack 2

I'd like to install VB 2005 Express Edition on my Win XP Home computer. When
I try, I'm told I first must install XP Service Pack 2. When I try it says,
"c:\windows\system32\cmd.exe is open or in use by another application..."
Obviously I need to close whatever application that is, but I can not locate
Task Manager to open and see what's running. I've tried Ctrl-Alt-Del, but
that does nothing at all. I've tried Ctrl-Shift-Escape, but that only opens
my start menu.
Is it posible that I do not have Task Manager? Is there some other way I can
either locate Task Manager, or close cmd.exe some other way? Is there another
option?
Any assistance will be greatly appreciated.

What happens from start | run when you do either msconfig and regedit? Do
these run? If not then it's likely malware is the cause.
