XP Restarts instead of Turning off from Shutdown..

Okay,

I'm working on a friend's system for them and it out the blue started
restarting instead of shutting down. The interesting thing is that all the
online help for this problem does not refer to my situation.

First: Roxio is not on the computer, she uses Nero.
Second: When the SBLive was installed, devldr32.exe was not running, but we
removed the card and are using the on board RealTek sound card and it still
does it.
Third: Bios is set to S1 (POS) as the ACPI setting.
Fourth: Why do all these sites keep refering to APM settings when there is
no APM in Windows XP, XP uses ACPI.

She is blind and uses Jaws for Windows, so JFW and JHOOKLDR are loaded, but
even when i remove them from memory the problem persists. She also has a US
Robotics Modem that has some 3Com resident drivers to make the modem work,
but again i remove them and the problem persists. Other than that there is
no extraneous software running.

I have tried Unchecking the "Autorestart on system failure" and all i get is
a lock up with a black screen and white mouse cursor, no error message as all
the help sites claim.

When I leave Jaws for Windows Screen Reader running while I shutdown i do
hear something strange as it shuts down. It goes through the "Logging off",
"Saving user Settings" and "Shutting down" screens, but during the shutting
down screen Jaws says, "Unavailable" and the system subsequently restarts (or
crashes if the autorestart option is off).
I'm nearing the end of my rope, and there is no reason for this to be
happening.

I'm posting a bios data from the motherboard, provided by Phoenix-Award bios
analyzer software. Thanks for the help in advance.

One can go to run, type:services.msc In msc, locate the service, double
click,then set to disable,manual,or auto,close out when thru.devldr32.exe
is for creative, why it didnt run when installed, but runs now with it removed
is odd, make sure the BIOS is set to on-board audio, plus, you can/could
open regedit,HKEY_LOCAL_MACHINE/software,delete creative.Open,HKEY_
LOCAL_USERS/software,delete creative. Also, you might chk out microsoft
robotics studio, downloads, the software might help youre friend...
