XP Pro upgrade loop. HELP!

We upgraded an XP Home machine to Pro. Everything went smooth. On final
boot we get "Insufficient resources exist to complete the API" then she
reboots and loops.

Everything we see online references Hibernation or USB devices. We removed
the USB devices. Cannot boot to Safe Mode either. It doesn't show the
message but it reboots and loops. Any Ideas??
 
XP home really doesnt upgrade to xp pro..The two arent upgradeable,you
need to install xp pro cd,boot to cd,at this point select install xp,new
copy,
delete the partition,create one,then xp reformats and installs auto.
