No, it's not true. It doesn't matter if XP is OEM or retail, either is a
qualifying OS for using an upgrade version of Vista.

There is no distinction between OEM and retail versions in the list.

Note that Vista Home Premium can't be installed as an upgrade over XP Pro.
However, an upgrade copy of Home Premium can be used to do a clean install
on a machine that has XP Pro on it. (A clean install is supposed to be more
robust, anyway. I've only installed Vista once: Home Premium on an XP Home
machine. I ended up reinstalling Vista as a clean install, due to some
problems with the upgrade install.)
