I e-mailed a guy off of Craig's List who has an XP Pro/SP2 disk and
asked him if it was "Retail, OEM, or an Upgrade disk. His reply was
"It's in a sealed DVD container" That was his total answer !!!
Am I dealing with a scammer ??

Way too little information. Windows XP also is not on a DVD to the best of
my knowledge, only CD's.

Windows XP Professional is not distributed on DVD media. Contact
Craig's List admin to report a scam.

Probably. If he doesn't know what he's selling, I certainly wouldn't
deal with him. Did he offer any explanation as to how a WinXP *CD* got
sealed into a *DVD* container?

The DVD container is the DVD case style instead of default cardboard box
with the booklet and all of that type of stuff. As far as I know, the DVD
case version is the same as the retail, just in smaller packaging, as retail
stores were selling the DVD case as the "tech" version of windows xp selling
for the same price as the regular boxed version. As far as if its a full
edition or an upgrade, I'd be unable to say for sure on that side.

Either that, or someone who is totally clueless. Either way, I would
say "buyer beware".
