XP install error message

During upgrade installation of XP home from Win98 2nd
edtion I get a error message that reads
D:\$win_nts.~ls\1386\asms\1000\msft\windows\GD\Plus.cat

Any help would be appreciated,

I got the same kind of message, installing XP (downloaded
from Microsoft web site)on a formatted disk :

Error : SXS.DLL : Syntax error in manifest or policy file
D:\I386\asms\60100
\msft\windows\common\controls\controls.man on line 0.
