XP 2002 Question

I can get a supposedly legal, unopened, full retail version of XP Professional Version 2002. The box says its for PC without Windows or with Windows 95 or earlier versions. Does anyone know if
1) Is there a 2003 version that is different
2) Could this be used to upgrade over an existing XP Home version

I'm not trying to buy illegal software, but if an older version will work for me, it is less money

There is no newer version of WinXP Pro, although there are newer
versions of WinXP MCE and TabletPC.
