WinXP locks on shutdown

I have had this problem for forever, but it's such a pain in the butt
as I like to sleep without the humming of a computer and hate turning
it off without shutdown completing.

I checked to see if a bios update would fix it, and that's a negative.
I had this happen and like everyone else thought SP1 would fix it.
Nope, it didn't. SP2 - that didn't fix it either.

My info: Winxp home version 5.1.2600 SP2 Build 2600
K7S5A motherboard AMD 1700 processor
It did at one point in time shut down - before we got a G-Force video
card. The card died a long time ago, and I now have a 3D labs Oxygen
GVX1. Still no shutdown, no restart - it always locks including mouse
control.

Is there anything I can do to make it shut down? It's driving me
CRAZY!
