WinXP clean installation problem (Please Help!)

I am installing a new 160GB hard drive (Maxtor). I ran the installation
CD and partitioned, formatted, and installed the Windows system files.
After the first reboot screen I get a BSOD with the following message:

Stop: c0000221 Unknown Hard Error
\systemRoot\system32\ntdll.dll

I can't get Windows to install any further than this! I have been trying
to figure out what is wrong for two days!!

"If reinstallation fails to solve the problem, a hardware or network problem
may exist."
In my case the new drive I purchased was defective. I did try re-installing
XP but it fail either immediately or after several good boots.

Consider the possibility that installation files have been corrupted by
hardware failure or mis-configuration. Failing memory or drive controllers
can easily do this kind of thing. Check that the BIOS settings are
correct - shut down, unplug, remove the battery and clear the CMOS with the
appropriate jumper settings. Reset the jumpers, put the battery back,
restart and let the system re-detect the hardware. Don't overclock at this
point.

Using MS WinXP CD to copy files.
I tried a 'known to be good' memory stick.
The system is not overclocked.
I'll try the CLR CMOS too.
