I have installed and registered Windows XP Home on my
present PC, I am soon to upgrade my PC

Question 1
Will I be able to install the same copy of Windows XP onto
my new PC even though it was registered on my old pc?

Question 2 - What will happen to Windows XP on my old PC
as I will be selling it and the buyer is not connected to
the net?

Yes if it's a Retail copy, no if it's an OEM copy

You must erase it if you install on the new machine. If it is OEM then it
MUST stay with the old machine.

If you purchased a retail copy of XP, then you will be able to install it on
your new PC. Many OEM CDs are tied specifically to the machine on which
they were first installed, but some are not -- if you have an OEM CD, you
might want to check with your computer's manufacturer. Also, if it's been
less than 120 days since you activated your current installation of XP, I'm
pretty sure you'll need to call Microsoft and activate by phone as I don't
think activating via internet will work.

It should always be common practice to completely wipe your hard drive(s)
when selling computers. The software on the drive is/was owned by you, not
the new user, and I'm sure most EULAs require you to delete the software.
Failing to do so could be seen as piracy, as the new owner of the machine
would have software s/he would not have purchased... about the same as
downloading it off the internet, except you've done them the favour of
installing it and preconfiguring it =) So, in short, make sure your drive
is completely clean when you sell your computer.

The buyer of your machine, assuming s/he is installing WinXP, can activate
via phone and should not be required to be on the net.

If it was a retail copy, not one of the 'OEM' ones sold with a piece of
hardware and marked 'for supply only with a new computer' or similar
wording, then you can *transfer* it, but it is only licensed to a single
machine, and you may not then leave it on the old one for sale. So you
can either

Remove it from the old one, and leave it to the purchaser to get himself
his own system, or leave it there and buy yourself one - you would have
to buy a new one if it is an OEM.

If you remove a retail one (which is what I would do - the amount that
you could get in the pricing of a second hand machine would not pay off)
then you go ahead and install on the new. When it comes to activation,
if it is more than 120 days since you last did it, you will find it will
go through on the net just like first time. If not, you will have to
phone a toll-free number that will be given, to explain and swap one
long number for another to check back as you type it in
