Windows XP Professional - Stablilty issues

Where to start with this one. probably going to be a really long post.

I recenly built a new system for home, and then went out and purchased Windows XP Professional. Installed it on my new system, and got multiple copy errors during instal, but they always seemed to correct themselves when I hit retry. After install, I went and got all the updates from windows update, and made sure all of my bios and drivers files were the most current. I recieved a couple system is shutting down errors. I then tried to install Trend Micro's PC-Cillin antivirus. after install and reboot, the antivirus reports and error and won't even start. I uninstalled it and tried thier newest version, Trend Micro's Internet Security 200* whatever the version is. It gave me a file corrupt re-download. So I did, 4 more times until it actually installed. but it then again gave errors and would not load. I then tried Nortan Antivirus. No luck there either, the same jumping through hoops for nothing. I installed Sim City 4 and thought "Hey a program that works" until it exited with no error messages. tried restarting it, and it will run anywhere from 10 seconds to exit to 10 minutes to exit without warning. Tried to get on the net, but keep getting errors and sending error reports. A few reboots later, I started getting Windows XP has recovered from a serious error. sent those error reports also. Have since tried re-installing Windows XP Profesional 4 times to get the same errors. Here are my System Specs

ASUS K8V SE Deluxe Mainboard
Marvell Networks Gigabit Lan Controller
AC97 5.1 Surround Sound with 2 SPDIF Digital Audio Out / 1 Optical Out
On Board Game Port
1 Parallel
1 Serial
8 USB 2.0 Ports
2 IEEE 1943 Firewire ports
AMD Athlon 64 3200+ 64 bit Processor
1 Gig Infineon PC2700 DDR Ram ( 2 X 512)
ASUS Radeon 9600 xt/tvd 128 mb ddr ram Video card with VGA/DVI Out TV Composit/S-Video IN/OUT
Opto-rite 8x dvd r/rw+-
Western Digital 7200 RPM 120 GB HDD
In-Win USB Port/MMC Card reader (Supports SD/MMC/Memorystick/CF Cards/ etc..)
Microsoft Natural Keyboard Pro
GE Optical Mouse
Canon Cano-scan FB620U Scanner (USB)
HP DeskJet 612c Printer
Logitech Quickcam (USB)
Logitech Wingman Extreme 3d Joystick

After Multiple Attempts trying to get XP Pro to work correctly on my machine, I decided to Try Windows XP Profesional 64 Bit - to try to see if it was a problem with running XP Professional on a 64 bit Chip. I couldn't get very far with that though, because Marvell doesn't make a 64 bit driver for windows XP, only for Windows 2003 (which doesn't work.) I just want to get it up and running with Windows XP Profesional so that I can use it without it crashing every few minutes on me.
Thanks for your help.

"...and got multiple copy errors during instal" is often incorrectly set up
or bad hardware, quite likely bad motherboard or memory, or if unlucky both.

....you're not using old 40 core ribbons anywhere ? ...just a thought :)

Greetings --

Problems copying files or corrupted files during installation
are most often caused by defective or sub-standard hardware; in order
of likelihood, either RAM, the hard drive, or the motherboard. On
much less frequent occasions, a bad CD or defective CD drive can also
cause this.

The persistent stability issues, as you've described them, would
point to the same hardware problems. Try replacing the RAM.

Greetings --

A computer component's working with Win9x/Me is absolutely _no_
indication that it will work with WinXP. Computer components designed
for use with Win9x/Me very often fail to meet WinXP's much more
stringent hardware quality requirements. In particular, WinXP is
quite sensitive to borderline defective motherboards, RAM, and hard
drives that may have seemed to have worked fine with Win9x/Me.

I had the EXACT same problem when I upgraded to an Athlon 3200+

It turns out the problem was that my RAM wasn't fast enough to keep up
with the CPU. Upgrading my chip from DDR333 to DDT400 fixed the
problem.
