I run Windows XP Home Edition activated and registered and I found , yes
found , a Windows XP Home Edition with SP2 in a rubbish bin . Can I keep the
CD or sell it ? I would like to use it in the place of the Windows CD I have
that does not have the SP2 update on it . Am I a criminal ?

The CD is just a convienience, THE LICENSE is what you are using and
want to be legit. If the CD is the same "type" as your version (the key
works) then you are good to go. If the key doesn't work, it's a
frisbee/coffee coaster.

that's what I thought . What if there were three motherboard setup disks ,
three copies of xp and three copies of cdrom software cd's and empty
motherboard boxes as well ?

The CD must be from the same *version* of Windows XP Home Edition as
you have installed in order for it to be usable by you.

There are several different versions of Windows XP Home Edition such
as:
- OEM version
- Retail Upgrade version
- Retail Full Install version

Your Windows XP Home Product Key will only work with a CD that is for
the same version of XP Home as you have installed.

And if the CD is for a BIOS Locked OEM version then it will only be
usable with a computer from the same OEM that produced the CD. These
OEM CD's will have the name and/or logo of the OEM computer
manufacturer or assembler on them.

Good luck

The cd appears to be the same type as the OEM cd I bought with my computer .
The nearest to any oem on the cd is the " For distribution with a new PC
only" and no manufacturer logo . Can you tell me if I am allowed to sell a
cd like this , because I really did find it in a rubbish bin . I think I
have to sell a Windows OS CD with a computer . Can I sell the cd with just
any computer ? What are the rules here ?

Do you mean "can" as in, are you able to sell it? Or do you mean "can" as in
are you legally entitled to sell it?

If the former, you "can" try and sell it. You might find somone interested
in purchasing it. Although, the person who threw it in the garbage bin
originally was probably the smart one.

If you mean the latter, you "can" sell almost anything you want in this free
market economy - except for drugs that don't come with corporate labels on
them, alcohol or tobacco that hasn't been federally taxed, or human beings,
as that is called slavery and is now illegal.

Didn't GW sell the Iraq invasion on a bunch of trumped up charges? The
consuming public will surely purchase anything that is offered at a good
price.

You have no license to sell. It's worth maybe 50 cents as a "backup
copy". Please understand, without the license it is worth nothing. The
license to use the operating system is what you are paying for, NOT the CD.

But s/he can legally sell the CD.

The CD might be worth something to another owner of a similar PC who's
lost or damaged their CD.

Saves shipping cost to the person who would be better off checking in
with the place they got theirs originally, rather than the "pig in a
poke" sale that would happen here.
