Windows shutsdown then reboots and restarts after shutdown

After choosing shutdown, windows2000 shuts down, then computer(Dell Latitude laptop) reboots and windows restarts

Found the problem - had to kill process (wowexec.exe)
Shutdown computer - restarted and it works fine now... not sure why
