Windows Restarting (doesn't complete boot process)

I got this dreaded blue screen of death message:
UNEXPECTED_KERNEL_MODE_TRAP and swapped DIMMs but no
change. I then installed a new hard drive and re-installed
W2k and it worked fine for a couple of new start ups.
After re-starting after installing the NIC driver it
failed with this dreaded blue screen of death message:
ADDRESS 80416643 BAST AT 80400000, DATESTAMP 384D9B17 -
NTOSKRNL.EXE

STOP: 0X0000000A (0XF000EF7B, 0X000000FF, 0X00000000,
0X80416643) IRQL_NOT_LESS_OR_EQUAL

Anyone have any ideas?

Start in Safe Mode and remove the NIC driver?
