Windows rebooting continously

hi,
my windows keeps on rebooting seconds after it comes to the desktop,
it says NT/AUTHORITY,
C:/WINDOWS/system code/services.exe terminated unexpectedly -1073741819

Can anyone please help me...I am Screwed

You really need to be sure the machine clean from malwares and Viruses by
scanning from another vendor other than your Anti-virus vendor.
Then it is best if you told us the last thing you have been doing on this
machine and in what kind of Environment this machine operate and the internet
connection settings.

hi,
i dont have internet but i recently installed tv tuner drivers (not
digitally signed) and pci modem drivers and panda antivirus software, as i
have got a new computer i have just started and i am not connected to the
internet. I dont have any idea whats going on.

hi,
And one more thing the computer restarts after 20 secs after every startup
and when it comes to the desktop, so i cant restore or do anything.

Could you boot into safe mode?.
If you could try to look in the Event Viewer, to do that follow these steps:
Start the machine and tap the F8 until you get the Boot up options and
select Safe Mode.
On safe mode click Start >> Run and type in the text input box:
eventvwr click [OK] and there look for error Messages and double click on
them to get more info and you can copy and paste or write them down then post
them in your next message.

Before doing Repair / Install try to uninstall the PCI Modem and see if that
will help.
Now while I'm thinking what can may be gone wrong is that you fried a
component on the machine when you installed the PCI Modem, which it will be
tricky to diagnose or discover.
Be careful when taking the PCI modem OFF, discharge your Body Elector static
(ESD) first by holding the Metal frame for the case for about 30 Secs and
hole the Card/Modem from it corner.
While there be sure there is not a loose cable (data, power cables).

Thank you very much for your reply, i tried to boot windows in safe mode and
restored to last known good settings and my computer seems to be operating
normally. But now i have a new problem, my cpu shows a 100% usage even though
I am not using it....I dont know whats wrong with my computer or shall i just
reinstall windows.

Try to scan for Viruses and Malwares on your computer to be sure it is not
an infection scenario.
Run the Panda and download these software from here:
http://www.lavasoft.com
http://www.safer-networking.org

Run this Autorun to see what running in the background and hogging your CPU
usage:
http://www.microsoft.com/technet/sysinternals/ProcessesAndThreads/Autoruns.mspx
Try to Turn Windows Update engine OFF to be sure it is not the cause.
Open the Run command and type:
sfc /scannow click [OK], get your XP CD handy you be prompted for it by
the OS.
