Status Code 1073741819 when shutting down computer

I have an XP professional, SP2 laptop which gives the following error:
This system is shutting down please save all work in progress. System will
shut down in 60 seconds (then it will start counting down)
C:\windows\system32\services.exe
NT authority system terminated unexpectedly with the status Code 1073741819
System will now shut down and restart.

The only way we can stop this is to do a hard shut-down with the power
button. I did a search for this status code and came up with people who have
sasser.exe, my error has never come up with sasser.exe, but always
services.exe. I am having problems with opening and running various
programs. Do you have a solution? Thank you.

Xp usually fails to shutdown or restart due to a "hanging service" try
opening
event viewer for OS problems,or run Msconfig From start useing microsofts
recommendations in kb310560 You'd probably also be wise to install xp cd,
exit the page,go to run,type:cmd In cmd type:Sfc /Scannow

Hi,
I downloaded the sasser worm fix and it came up with no worm found. I
also tried the Microsoft malicious software download and did a complete scan
and it came up with nothing. Any other ideas? Thank you for your help.

I should have told you the type of computer we are having a problem with is
the Asus EEE and it does not have a CD drive. Also, we are not computer
experts and I do not know how to find the event viewer and what would I look
for once I find it. I reviewed the KB310560 article and I really don't know
where to start. Can you give me step by step directions? The Asus computer
I purchased came with the XP loaded, not the usual Linux. I do have the
Linux OS disk and the XP disk. Thank you for your help.
