Rundll.exe is not a Win2K system file, it is from the 9x/ME days....
Q164787: "INFO: Windows Rundll and Rundll32 Interface"
support.microsoft.com/?id=164787

Was this system upgraded from 9x/ME ??
If so, that might explain why the file is present (if it is). However,
regardless, the file should not be in use.
Is rundll.exe running during normal operation? It shouldn't be, you might
want to check for spyware.

It is a clean install of W2K. I remove spyware and this
started to happen.
Thanks

Is rundll.exe running during a normal session with no apps running ?
What about in Safe Mode, do you have the same problem ?

I find it very odd that this is happening (as I am sure you do). Rundll.exe
is used to run 16-BIT .dll files, and should not be running in a VANILLA
(clean, with zero add'l software installed).

In you "clean" install, have you already loaded drivers for the various
hardware on your system? It could be that some of this software is
responsible for the rundll.exe/rundll32.exe processes running.
