rundll.exe at shutdown

Each time I shut down
1. End Task box pops up " rundll.exe ".
2. I allow it to end task automatically.
3. It then reports "not responding" and asks me to choose to shut down
anyway.

What causes this and how do I go about clearing it ? I have defragged,
cleaned disk, Nod32 scanned, windows defender scanned but it still appears
each time I shut down.

What causes this

The file "rundll.exe" does not belong to WinXP and more than often, that
file itself is virulent or used to run virulent DLLs.
cleaned disk, Nod32 scanned,

When installed with administrative privileges, any malware may easily
bypass any anti-virus. Not a Windows issue anyway.
