win2kpro fresh install STOP error

I'm installing win2kpro on a fresh hard drive (western
digital 12GB. MSI motherboard. 512MD DDR RAM. AMD Athlon
2100+ processor. I boot with my win2k disks that I made
(1 through 4) I get all the way to disk 4, when it loads
floppy, scsi,FAT,NTFS and cd-rom FS, then says starting
win2k setup. Then the STOP error comes. it reads:

unknown hard error - \SystemRoot\system32\ntdll.dll

I'm tried the following already: 1> went into BIOS and
disabled internal cache, NO CHANGE! 2> disabled System
BIOS cacheable, NO CHANGE! 3> swapped out Hercules 3d
prophet 4500 (which was not on the HCL) for ATI Rage 128MB
DDR AGP (which is on the HCL), NO CHANGE! 4> tried another
hard drive, went from my 12GB western digital to my 60GB
Maxtor, NO CHANGE STILL 5>removed my network card, NO
CHANGE! 6> swapped out my 512MB DDR (pc2700) memory with
another working one, NO CHANGE!

I do not know what else I could do. well I'm sure I could
try another motherboard / processor, that might work but I
would rather not go through all that to just install
win2kpro. Anyone have any ideas???

Well just wondering why you boot off floppies? It looks
like its trying to access \systemroot\ and maybe can't
find it in the right place (systemroot usually being the
windows folder, which initially gets created on a
ramdrive or similar during boot from CD, particularly if
the harddisk has not been formatted; if it has been
formatted, it may write the temporary files to it).
I've installed Win2k dozens of times but never off
floppies, just boot off the CD and perhaps it works
better?? Unless the mobo don't support booting off CD,
but in that case perhaps best to replace it?
