Win XP Sp2 FREEZES on Shutdowm

When I do a shutdown from Start/Turnoff Computer/Turnoff, it Freezes and
doesn't shut
down. Then I have to do a manual shutdown with the on/off switch. Tried
looking on MS
Help & Support and didn't find anything on it. Help Please.
 
You might have something running in the background that is causing this
