W2kServer stuck in splash screen

[MSNews]

I have a W2kserver that is stuck in the splash screen with the starting up
bar about 75%. I have tried running repair from cd using ERD and no luck.
When I boot in safemode I get an error as follows
NT Authority system is shutting you down in 30 seconds...
services.exe terminated unexpectedly
it then reboots

I have reinstalled the OS 2 times prior

any help appreciated
