W2K BSOD

When booting the machine I get the BSOD. The error
is "STOP 0x0000006f ...Session 3_initialization Failed"
There are several options to try including disabling the
BIOS memory options such as caching or shadowing.
I have looked in the BIOS for these options and maybe I am
blind, but I didn't see these.
I have also attempted to boot up in safe mode and still
get the BSOD, and have tried the "Last Known Good..." and
no go.

I don't really want to reformat, but will if nothing else

Thanks for any suggestions that may come my way via this
posting.
