Vertical Spacing Dilema

I am trying to use a left cell of a header table to display a site search
facility.

But, no matter what I try, there seems to be EXTRA vertical space between
the image at the top of the left cell and the search form beneath it.

This is how the standard header looked PRIOR to redseigning it to remove the
duplication;

This is how it looks now with the left cell including a search facility;

I do not understand what is causing the EXTRA vertical spacing in that left
cell between the image and the text "Search Web Site" and then again between
the text and the input are.

Does any one have any suggestions or insights?

It wasn't the big image. I checked that for him. I think it was the nested
tables.
