User and Computer migration from 2k to 2k/2k to 2k3 not working w/

all.. I am trying to find a migration tool that can move users/passwords and
computers from one mixed mode 2k to another.. we have a DC that is dying and
another DC that is up and running that we want to bring the old into. the
ADMT tool will not move between the two due to active directory not native??
is that true.. by a test i ran a migration from NT to 2k and received
permission errors.. why would i get that and what permissions is ADMT looking
for??

Added:.. I get permissions errors when trying to migrate NT to 2k... and a
file error when migrating 2k to 2k..
