URGENT: New upgrade will not boot from any mode, including SafeMode---stuck on black and white scre

I have just upgraded my Win2K to XP moments ago. It went through the
whole cycle down to 0 seconds, rebooted, and then I ended up at a black
and white screen that apologizes for the inconvenience, but Windows did
not start successfully (rather obviously, I might say!)

It then gives different options syggesting Last Known Good
Configuration, Start Normally, or start in Safe Mode, or Safe Mode with
Networking or with Command Prompt.

Unfortunately, none of them work. The Windows XP black and colored
screen flashes for a second and then the machine reboots...

Where do I go from here?????

I should add that I have tried to reinstall the CD by using it to boot
but it will not boot. My BIOS says that the CD-Rom is recognized.
There is a message during boot that says that there is no CD emulation,
whatever that means...
