If you are a member of BizSpark I would guess
that you either receive a media CD/DVD in the mail
with terms of use. Or you download an .ISO and keycode
from the BizSpark web site. Therefore I would think it's not
considered OEM software since your not building computers
but are in fact using the software to help build your business.
Now as to migrating from XP to Vista it's something I'm going to
try in the next day or two on one of my "Test" computers.

The trial backup software (Acronis True Image) is used to
backup your existing Windows XP operating system and all
the applications and data.
It's an "Image" of your hard drive, so you could in fact store the
Image Backup file created by Acronis True Image to an external
USB drive, remove your existing Windows XP hard drive from the
computer (after you have created the image backup and the Acronis
Rescue media CD, replace the drive with a new drive of the
same size or larger, restore the image backup to the new hard drive
(using the Acronis Rescue Media, which as motioned previously
should create before you remove the old drive) and after the image
restore process has completed you should be able to boot to XP
and see all you user accounts, data folders and the applications
just as if you did on the old drive.
The use the new drive is to test the migration to Vista, if all goes
well your done. If it fails then you can use the image backup
to restore Windows XP. In the rare case the Image Backup
restore process fails you still have your old hard drive as the ultimate
backup.
Since you are running a business you Windows XP data, applications
are of significant value to you, so keep in mind that not all the
applications
may work on Vista or any of the server software you mentioned in your
original post. So it would be prudent to do a little background research to
see if each application is Vista compatible and your computer hardware
meets the Vista requirements.
First be aware that Vista requires more memory than XP and a better video
card than XP would need.
