Upgrading from ME to XP

I am trying to upgrade Windows ME to XP Home Edition. I
have the basic system requirements but upon start of cd, I
get the message - "access denied at this time" then the
second message says, ".....funtionality for upgrade is
disabled...." What does this mean? How can I proceed with
the upgrade?
