I want to upgrade my motherboard from msi kt3v to asus
a7n8x ultra400. what do i have to do to keep from
completely re-installing win2k. Will win2k recognize it
with existing settings? I just want to change MB and keep
everything else as is...for now. Thanks for any help on this.

Normally, unless the new motherboard is virtually identical to the
old one (same chipset, IDE controllers, etc), you'll most likely need
to perform a repair (a.k.a. in-place upgrade) installation, at the
very least (and don't forget to reinstall any service packs and
subsequent hot fixes):
