Upgrade version of XP Pro and dead disk

I have a primary hard disk failing. It has the upgrade
version of XP Pro on it now, but was originally Win 98.
When I replace the disk to I have to load Win 98 first,
then upgrade or can I just us the Win 98 Product Key to
indicate I own it? I have a full ASR on a backup disk.
So, I am hoping I can just load the upgrade verision of
XP pro and pull back my data from the ASR. What do you
think? Thx.

You can perform a Clean Installation of Windows XP Upgrade.
You will need to insert your Windows 98 CD for a few minutes.

Clean Installation
Disconnect all peripherals (camera, printer, scanner, etc)
Disconnect any ZIP drive
Disconnect network/modem cable.
Go to BIOS and set CDROM as boot device before hard drive.
Insert Windows XP CD and reboot.
At "Press any key to boot to CDROM" quickly press a key and follow the
prompts for a Clean installation:

If you are installing using Windows XP Upgrade, insert qualifying
media in Step 4b.
Delete all partitions in step 5 if you desire to erase all data on the
hard drive.
Partitioning and formatting will be done automatically.
All data will be destroyed, back-up important data first.

Enable or install firewall BEFORE connecting network cable.

Install ALL Critical Windows Updates:
Start/All Programs/Windows Update

After you are finished, you will need to load the appropriate drivers.

If your computer was shipped with Windows XP, these procedures may or
may not apply.
Check your manual or contact the computer manufacturer for more

Greetings --

It's quite possible to perform a clean installation using an
Upgrade CD. You'll be offered the opportunity to delete, create, and
format partitions as part of the installation process.

Simply boot from the WinXP Upgrade CD. The Upgrade CD checks to
see if a qualifying OS is installed, and, if it finds none, it asks
you to insert the installation media (CD) of that OS. Unfortunately,
an OEM "Recovery/Restore" CD will not work for this purpose; you must
have a true installation CD, complete with the "\Win98" folder and
*.cab files, or the "\i386" folder of WinNT/2K.

Alternatively, or especially if all you have is an OEM Recovery CD
for the earlier OS, you can even start the upgrade from within the
current Win98/Me/NT/2K installation, and still elect to perform a
clean installation, to include formatting the drive. In this case,
there's no further request for the qualifying OS's installation CD,
because the installation routing "remembers" that you started from
within the qualifying OS. This process is more time-consuming, but
you get the same results: a clean installation of WinXP.
