Upgrade problem

OS is Windows XP pro.

Upgrade alert icon is on constantly. Click brings info that Windows
Installer 3.1 is available. Then upgrade seems to download, but clicking
"run" brings page saying the upgrade cannot be installed. Closing just puts
the shield icon back on the taskbar.

Is there any way either to get the upgrade or get rid of the alert shield on
the taskbar.
