Upgrade mb and CPU to Core Duo--need new OS install??

I have a stable Win2K, SP4 installation on a system that has an Intel
Northwood Pentium 4 2.53 MHz CPU (I believe it is not hyperthreaded).
Can I change out the mb and CPU to a Core Duo without a new install?
Apparently it can be done with WinXP.

No it can't be done with XP, replacing either/or the CPU/Motherboard may
even require you to buy another copy of XP depending on your current
version, if you have OEM version, then your locked to your current
Motherboard/CPU, upgrade the hardware and there is a good chance you have to
buy xp new, if you have the FULL retail version, then you're pretty much
safe.Though it's expensive .

upgrading to a dual core CPU and keeping your current motherboard (if it
supports dual core) you can still be pretty much safe
but MS is the final judge on this, Unless you have the full Retail version,
be prepared to spend some bucks again on a new copy of XP.
