Replacing all three is required for a significant upgrade?

Would going with Intel require replacing anything else besides

Dave is probably right that the PS would most likely need replacing, unless
you happen to already have a hefty one (350 + watts). You would most likely
need a 20 to 24 pin mb connector adaptor at least for the current one you
have. Additionally, depending on the mb you choose you might need an
additional 8 pin cpu connector in addition to the 4 pin square one that is
necessary for the cpu. Do look carefully at the mb requirements before
deciding if the PS will need to be changed.

Besides that you might need a new graphics card if the one you have is
AGP. There are a couple of mb's out there that still can be gotten with AGP,
and that's contingent on the cpu type you choose. Most of the mb's now come
with PCI Express slots for graphics, but if you're not graphics high-end
needy you could get one with onboard video, along with the PCI Express slot
that can leave you the opportunity to uprgrade in the future.

I was searching for what the Opteron 152 might be comparable, first going to
Tom's hardware, not finding much in comparison and then just doing a Google
search. Nice 1mb L2 cache, 939 architecture and guessing now that it's
comparable to an Athlon 3000 cpu.
One personal comparison I can make is rendering a DVD movie with an
AthlonXP 2500 (a little older than your Opteron) that took about two hours
and 20 minutes. Doing the same movie with an Athlon64 4600+ X 2 took 58
minutes. I'm guessing your Opteron would have been a little faster than
the Athlon 2500, but just the same you should certainly experience a huge
speed improvement if you happen to do video rendering if you're getting
something comparable to the Athlon64 4600+/2.
