Unexpected Shut down

While backing up the system state on a windows exchange
server 2000 box w/ latest service pack. The system shuts
down by itself. This occurs while backing up over the
network with Verita's as well as MS backup localy. Any
ideas . We would like to be able to back up

Hardware problem. It may be RAM, CPU, CPU over heating, etc.
