Trying to load new software

Everytime I try to load new software from a CD, I get the following error
message:

C:\WINNT\SYSTEM32\UTOEXEC.NT. The system file is not suitable for running
MS-DOS and Microsoft Windows applictions. Choose 'Close' to terminate the
application.

If you know any way to fix this, I could really use the help!
