I purchased WIN XP Professional Upgrade for my old
computer which is now dead. I gave the computer away for
parts. Can I give my Win XP Professional Upgrade to a
friend to use now even though I registered it for myself?
I have a new PC that came loaded with XP Prof. so I don't
need it anymore.

As long as you have completely removed it from the old machine, yes.

Yes, as long as it has been removed from your old computer. The rule is: do
not use the same license for more than one machine.

Then I'm safe, cuz I trashed the hard drive and didn't
give it away for parts. Thanx all!

Right. Looks like your friend is going to get XP for a very reasonable
price!

The other users are correct, however, not if it's an OEM version. Those
versions are only allowed to be installed on one specific computer, and are
not allowed to be transfered, even if you trash the computer.
