System slowdown, only turning off ADSL modem helps

I recently used Windows Update and already had some minor issues when
connecting to network, but not this.

Main problem: I turn my computer on and ADSL modem on. After about 1-5
hours, everything slows down for about 5-20 seconds. Temporarely nothing
moves in the screen and sounds stop or they work very slowly. Then it seems
to be working normally for about 5-60 seconds, and slows down again. When I
turn off my ADSL modem, no more stopping or slowing down happens. When I turn
on the modem, after some time problem returns.

Other problems (not so important):
1. Sometimes when Windows starts loading, black screen appears with error
box, saying something like "lsass.exe, defined handle not valid", and when I
press ok, computer boots up. Same error might come again.
2. When Internet connection is established, yellow triangle appers in lower
right corner saying something like "there is same/double/duplicated name in
network"

Pentium IV 2,66 GHz processor
845E Max motherboard
Telewell TW-EA200 ADSL-modem
Geforce 6600GT graphics card (previous was radeon 9200SE, updated one month
ago)
D-Link DFE-530TX network card
 
Thank you for responding! Unfortunately, I can't configure modem with web
browser (I tried with IE and mozilla firefox). I was able to configure it
some time ago, but not anymore. When I try to connect to that modem IP-number
(192.168.0.254 or 192.168.1.254) I can't get connected, name and password
-window do not appear. I even tried without firewall (Only LAN-cable
connected, line-cable removed), it did not work either. Resetting has no
effect.

I noticed that SYS-led is blinking. Strange, even this modem is not working
correctly, I can still go to internet with it... I guess it is time to go to
computer store and buy a new ADSL modem and perhaps a new network card too.
