System doesn't boot with XP cd

Hi friends,
I want to install XP Professional. I have a bootable CD. When I try to
boot from the XP bootable CD, I get the following istructions..

Press any key to Boot from CD...

after I press enter...
It shows the following...

Scanning your hardware configuration.... ....

then the screen goes blank.
My hardware configuration is : Intel P4 2.4 GHz processor
Intel 845 chipset
motherboard
256 MB RAM
Can you please tell me what is the problem.

CMOS battery new on the mobo..?

XP Pro Retail full/upgrade w/SP2...? Or is this a slipstreamed disk you
created from the original retail version..? Is it an OEM version of XP Pro
that came with an OEM computer, Dell, HP, Compaq, etc..?
