Shuting Down Problem on MSI 865PE Neo 2 V

I have problem with shutting down to my computer.
Motherboard is MSI 865PE Neo 2 V
CPU 2,4 Celeron
256 DDR 400 Mhz
80BG Western Digital

When I shut down windows XP the computer is restarting. The same
problem is with Windows Server 2003. I try fix it with updateing the
BIOS, but the problem still continue. I have formated the disk for 3
times.

Eny body help me with this problem, please.

Open your BIOS and disable "ACPI SCI IRQ".
Then under "Integrated Perpherials", set the
USB Controller to "Enabled" and "USB Device
Legacy Support" to "Keyboard + Mouse".
Next, save the new settings to CMOS and reboot.
