I'm going to assume your using Windows XP as you haven't told us ;)

Try these two things:

Go into power options under control panel and check your power schemes and make sure its set to Home/Office Desk. If its set to 'Always On' then it won't power down and keep rebooting.

Check your Bios settings - do you have the 'restart after power failure' option set? - sometimes it can't tell the difference between power-down and power-loss - try setting it to off.

and if that fails go to device manager, select show hidden devices and look for "ACPI" probably with an exclamation mark. uninstall it. should sort it.
