SETUP invalid page fault

trying to upgrade win98 with XP pro.
every time i run the cd-rom i get "the program has
performed an illegal operation and will be shut down"
details are "SETUP caused an invalid page fault in module
KRNL386.EXE at 0002:00007bf8"
can anyone shed some light on what im doing wrong?

completed full system scan after downloading all latest definitions this morning
nothing was found so i guess the problem is elsewhere - cheers for the help :)
