Service Pack Update Error

Updating some (DELL) PCs running W2K Pro from SP2 and SP3
to SP4, I am getting one of two errors:

1. "The file c:\program files\internet explorer\connection
wizerd\phone.ver is open or in use by another
application.close all other applications and click retry"

2. "The file c:\program files\outlook express\msimn.exe is
open or in use by another application.close all other
applications and click retry"

The task manager shows that no such processes are present.
Also any attempt to close most processes are denied.

My user account and the local admin acounts have by group
policy unrestricted internet access, yet a message comes
up to the contrary disallowing access with a little
message to see the system administrator. The longtime
historical users still retain internet access--no others
allowed.

The system has been scanned for viruses, worms and spyware
with negative results.

Has anyone any suggestion(s)?

Microsoft supports service pack issues free of charge.
Call them at (800) 936-4900 opt 2 then 1, your call will
be answered by a technical router, tell them you are
having service pack issues and they should support you 100%

I do it all the time, its a way to get free support too.
