Service Pack 3 Load Problems

i am unable to load XP SP3. I receive a denied access message. I've tried
disabling McAfee with no success. Any help would be appreciated.

You'll need to upgrade to SP3 by 2010 or you won't be able receiving vital
and pertinent security updates/patches for your WinXP operating system.
