Second Hand XP

I am not sure if I am in the right group but here goes. I want to buy a copy
of XP Pro from a friend who has updated to Vista. What is the position re:
Activation, updates etc of such a second hand Xp. Can I legally purchase a
copy that somebody has no further use of. Will I have problems with
Microsoft.

If it is a retail copy, no problem. If it is OEM, it is tied to the
machine on which it was first installed.

You said updated to Vista.........if he used an "upgrade" version of Vista
and "upgraded his XP installation to Vista that copy of XP is null and void.
If he bought a retail version of Vista and removed XP from his system before
the Vista install XP is still useable unless its a copy like Malke posted.
