rundll32.exe won't shut down

On a system running XP home, suddenly I am having to
manually shut down rundll32.exe.

I have scanned for viruses, spyware and adware and
cleaned/removed anything that was found.

I also tried renaming the program and copying it from
another computer but can;t get this message to go away.

Try this,

Open "Run" and type "sfc /scannow"

Have your XP Home disk at hand.

If your rundll32.exe is corrupted sfc will replace it
with the origfinal from your disk.
