RUNDLL32.exe Message When Logging Off

I have a Dell laptop computer running XP Home edition.
For some reason, lately when I logoff or turn the
computer off, I get a message box saying something to the
effect that Windows is shutting down Rundll32.exe with
the option to end now each time.

Can someone explain why this is happening each time and
how to correct. I tried to use selective startup and
uncheck the rundll32 box but to no avail.
