Seems like you might have an application that launches
rundll32.exe that is either still running when you try to
logout or that doesn't kill the rundll32.exe process
correctly.

You should try to use Process Explorer by Sysinternals to
try and identify which app is using rundll32.exe.

When I log off XP, a dialog box opens up
showing "rundll32.exe shuting down" then it says there is
a problem, do you want to close now?. How can I stop that
from happening. I cannot log off and walk away as it will
not log off until someone closes that box.
