Retiring PC with Windows XP Home (retail)

I am going to retire old Dell 8100 with 384 MB and a sick hard drive.

The machine was originally Windows ME
and was upgraded to XP Home (Retail).

How do I "de-register the Dell?

What issues will I face as I install and register the retail XP in a
newly built clone?

If you want to sell the machine on, then you need to remove XP from it, as
it cannot be activated on two computers at the same time. You should be able
to put WinME back on, provided you have the original discs.

Provided you haven't re-activated the retail copy within the last few
months, you should be able to activate it on a new PC via the Internet. If
not, a call to MS should sort it out.

And if you dont have an earlier version win cd to point to during the winxp
installation you wont be able to install winxp (upgrade version)
