regsvr32 hangs

I am trying to register the CDO rendering dll cdohtml.dll. I have
placed gapi.dll and exchmem.dll in the path and if I view the dll in
dependency walker, everything is OK. When I try to register with
regsvr32, it returns a command prompt as if it has completed running,
but no message is popped up and I see in the task manager that the
process regsvr32.exe is still there hanging.

I have done the same on another machine with no problems.

Any ideas?
