Process out of control!

Posted this in Network folder as well just in case.
Whenever I use the internet(enable or disable a LAN
connection or just plugging and unplugging the cable or
initializing a VPN connection) the SERVICES.EXE process
kicks into gear using 100% of the CPU for 2 to 5
minutes. It proceeds to repeat this about every 10
minutes for the duration of my laptop being in use. I
have all the updates/service packs installed and am using
Win 2K Pro with 256 meg of RAM. No idea what to do
next.
